Terms of Service
These Terms govern your use of Memlira, including the web dashboard, the mobile apps and related services (the "Service"). Memlira is provided by Softriq Ltd, a company registered in England and Wales (company number 16217315, 128 City Road, London, EC1V 2NX, United Kingdom) ("Softriq", "we", "us").
By using the Service, you agree to these Terms on behalf of yourself and, where you act for a business, that business ("Customer").
Memlira is for businesses. You must be at least 18 and use the Service for your business, not as a consumer. If you accept these Terms for a business, you confirm that you are authorised to do so.
1. The Service
1.1 Memlira lets a business connect data from its own store or systems (through the Memlira plugin for WooCommerce, a read-only connection to a supported store platform, Memlira Connect, or by uploading Excel or CSV files) and lets the business's team ask questions about that data, by text or voice, and receive answers with their source.
1.2 The Service only reads data. It does not change anything in your systems, and it does not send messages to your customers or any other third party.
1.3 Numbers in answers are calculated by our software from the data your systems provide. Each answer shows where it came from and when the data was last synced.
1.4 Some features may be offered as a preview or beta. They are provided as they are, may change or be withdrawn, and are not covered by any service commitment until we make them generally available.
2. Accounts and roles
2.1 Each Customer has a workspace. A person has one Memlira account and can be a member of several workspaces.
2.2 Roles:
- Owner: one per workspace. Manages sources, the team and its permissions, and can transfer ownership or delete the workspace.
- Admin: manages sources and regular members within the admin's own permissions.
- Member: asks questions and sees only the data the workspace allows.
2.3 You can create an account by signing up on our website or through a supported store platform; signing up creates a workspace with you as its owner. Accounts are also created by invitation from a workspace, or by Softriq when it sets up a workspace for a custom system. The mobile apps do not create workspaces.
2.4 You must keep your sign-in details secure. Owners and admins must use two-step verification. You are responsible for activity under your account, and you must tell us at [email protected] if you think it has been compromised.
2.5 The Customer decides who joins its workspace and what each member can see, and is responsible for those choices.
3. Plans, fees and usage limits
3.1 Plans are purchased on the web, or through the store platform's own billing where that platform requires it. The mobile apps do not sell anything. Plans, trials, renewal, cancellation, refunds and taxes are governed by the Subscription Terms, which form part of these Terms.
3.2 Each workspace has a usage limit based on our cost of providing answers. We show your usage as a percentage of that limit.
3.3 When a workspace reaches its limit, searches by order number or name, pinned answers and the daily summary keep working. Other questions are limited to a daily number for the workspace until the limit resets. The app shows what happened and when it resets.
3.4 We may also apply reasonable technical limits (for example, request rates, question length or file size) to protect the Service.
4. Your data and your responsibilities
4.1 Your data stays yours. The Customer keeps all rights in the data its systems provide and in its team's questions ("Customer Data").
4.2 The Customer is responsible for:
- having the right to connect its systems and share Customer Data with us, including any notices or consents required by law;
- the accuracy and completeness of the data in its own systems and files;
- the keys and access it gives us to its systems.
4.3 Our handling of personal data in Customer Data is described in the Data Processing Agreement, which forms part of these Terms for business Customers.
4.4 You must follow our Acceptable Use Policy.
5. Answers and their limits
5.1 Answers reflect the data your systems provided at the last sync. If that data is wrong, incomplete or out of date, the answer will be too. The Service tells you when a source is out of date or has failed to sync.
5.2 When a question is unclear or matches more than one record, the Service asks you to choose instead of guessing. When there is no data, it says so.
5.3 The Service is an information tool. It is not accounting, tax, legal or financial advice. You should check important figures in your own systems before acting on them.
5.4 You can report a wrong answer from the app. We use these reports to fix errors.
6. Our rights
6.1 We own the Service, including the software, the engine and its definitions, and the design. These Terms do not give you any right in them other than to use the Service.
6.2 You give us a limited licence to host, copy and process Customer Data only to provide, secure and support the Service and to correct errors, as described in the Privacy Policy and the DPA. We do not use Customer Data to train any AI model.
7. Suspension and termination
7.1 You can stop using the Service at any time.
7.2 We may suspend access, after notice where reasonable, if: an account is used in breach of these Terms or the Acceptable Use Policy; it is needed to protect the Service, other customers or a third party; or fees are unpaid. Where we can, we tell you first and give you time to fix the problem. We act without notice only when it is needed to stop serious harm.
7.3 Either party may end these Terms if the other materially breaches them and does not fix the breach within 30 days of written notice.
7.4 We may stop providing the Service to a Customer, or close the Service, with at least 30 days' notice. We then refund any prepaid fees for the unused period.
7.5 When these Terms end, access stops and Customer Data is deleted as described in section 8 and the DPA. Sections that by their nature should continue (for example sections 6, 9 and 11) continue.
8. Deleting accounts and workspaces
8.1 Deleting your account: you can delete your account at any time in the app or on the web, under Account > Delete account. We ask for your password again (and your two-step code, if you use one). Deleting your account removes your question history and your memberships. The workspace and its data stay with the workspace. We send a confirmation email.
8.2 A workspace owner cannot delete their account until they transfer ownership to an admin or delete the workspace.
8.3 Deleting a workspace: only the owner can do it. Access stops immediately, and the workspace's data is deleted after 30 days, as described in the Privacy Policy and the DPA. Until then, the owner can ask us at [email protected] for a copy of the workspace's data.
8.4 Disconnecting a source deletes the data synced from that source.
9. Liability
9.1 Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that the law does not allow to be limited or excluded.
9.2 Subject to 9.1, neither party is liable for indirect or consequential loss, or for loss of profits, revenue, business, goodwill or anticipated savings, arising from these Terms or the Service.
9.3 Subject to 9.1, and apart from fees the Customer owes, each party's total liability arising from these Terms or the Service is limited to the fees the Customer paid for the Service in the 12 months before the event giving rise to the claim, or £100 if the Customer paid nothing in that period.
9.4 We provide the Service with reasonable care and skill. Answers depend on the data your systems provide (section 5), and we do not promise that the Service will be uninterrupted or free of errors. We are not responsible for delays or failures caused by events beyond our reasonable control.
10. Changes to these Terms
We may update these Terms. Each version shows its version number and effective date. For a material change, we give workspace owners at least 30 days' notice by email and in the Service before it takes effect. If you do not agree, you can cancel before then (Subscription Terms, section 6). Other changes, such as corrections or changes required by law, take effect when published. If you continue to use the Service after a change takes effect, the new Terms apply.
11. Law and disputes
These Terms, and any dispute about them, are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction. This does not remove any protection you have under mandatory law where you are based.
